Northvale is hiring a Corporate Lawyer to join their office in Delhi.
Role and Responsibilities
- Providing accurate, relevant, and timely advice to your employer and other members of staff on a variety of legal topics that relate to the business sector and their products or services.
- Drafting, reviewing, and negotiating various commercial contracts and agreements.
- Managing and mitigating legal risks by designing and implementing company policies and procedures.
- Ensuring compliance with all laws and regulations that apply to the business.
- Promoting legal, compliance and risk management best practice throughout the company.
- Communicating with and managing any third-party bodies such as external counsel or auditors.
- Designing and delivering legal training to the business.
- Staying up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect your business and specific industry.
- Liaising with senior members of staff.
- Sound understanding and knowledge of commercial and corporate law.
- Depending on the seniority requirements of the role, you may be asked to have a certain number of years’ experience as a commercial lawyer working in-house or in a leading firm.
- Strong communication and presentation skills.
- Excellent negotiating and drafting skills.
- The ability to build and maintain strong professional relationships across the business.
- The ability to communicate complex legal issues and risks in terms that non-legal colleagues can understand.
- The ability to work in a highly autonomous role.
- Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company’s legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory matters.
- Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
- Manage federal and state regulatory strategy and compliance, and develop state-specific regulatory guidance.
- Partner with the HR team on global employment practices, employment handbook updates, compliance training, and new country expansions.
- Oversee the improvement of legal department processes to increase efficiency and mitigate legal risks.
- Hire, develop, and manage a team of high-performing individuals.
- Review and advise on a range of agreements, including corporate, employment, and commercial (buy and sell side) agreements.
- Draft, review, negotiate, and administer contracts and agreements.
- Ensure that contracts are fully executed and in compliance with laws and regulations.
- Interpret contract requirements, manage contract performance, and ensure compliance with contractual terms.
- Coordinate with the legal department to resolve any legal issues.
- Maintain a database of the physical and digital records of all contracts and related documents.
