Details of the Job

Schbang is hiring for the position of Company Secretary & Legal Associate with 1-2 years of experience to join their office in Mumbai. 

Role and Responsibilities

COMPLIANCE DUTIES:

  • To handle secretarial work like maintenance and updation of statutory registers, minutes books, filing of records etc;
  • Reviewing Notices, Agendas and Minutes of all types of meetings;
  • Assisting and Convening of board meetings, EGMs, Committee meetings, and AGMs;
  • Review of event based and Statutory Forms to be filed with ROC to ensure compliance with regulatory requirements;
  • Handling of documentation related to transfer of shares, addition or removal of directors/ KMPs, formation and winding up of entities;
  • To assist in statutory registration of the entities like MSME, trademark application, etc.
  • Handling of process of dematerialisation of shares and coordinating with the Banks and other stakeholders for necessary approvals and support;
  • To manage FLA filing/ APR Filing/ FC- GPR and to co-ordinate with internal teams, Departmental Heads, Directors and external PoCs like Auditors, AD Banks and external consultants;
  • To coordinate and assist in managing all aspects of UK companies house compliance;
  • Due diligence or background checks for any new acquisitions or takeovers or joint ventures;
  • Communication and coordination with RTA and regulatory bodies as and when required;
  • To maintain compliance calendar for Schbang group and its subsidiaries;
  • To manage any other compliance related matters.

LEGAL RESPONSIBILITIES:

  • Assist in drafting, reviewing, and editing contracts, non-disclosure agreements (NDAs), vendor agreements, and employment contracts.
  • Prepare internal legal templates and checklists for routine processes.
  • Conduct in-depth research on topics related to intellectual property, data privacy regulations, contract law, and employment law.
  • Help track and analyze changes in laws and regulations that may affect the company.
  • Assist in preparing compliance reports for internal use and audits.
  • Compile and organize case files and evidence for potential legal disputes.
  • Draft preliminary responses for legal notices under supervision.
  • Maintain and update the repository of legal documents and agreements

Eligibility

  • Years of Experience: 1-2 years.
  • Required Qualification: Pursuing/Completed Company Secretary Course.
